These Terms & Conditions (“Terms”) govern your access to and use of FlowBotics’ AI automation services, including voice agents, chatbots, integrations, and related software (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

• “Client” means the business or individual using the Services.
• “AI Agent” means automated voice or chat systems configured by FlowBotics or the Client.
• “Platform” means any software, dashboard, or web interface provided by FlowBotics.
• “Third-Party Services” includes CRM systems, voice platforms, payment gateways, and other tools integrated with our Services.

2. Use of Services

You agree to use the Services only in accordance with these Terms and all applicable laws and regulations.

You agree that you will not:

• Use the Services for any unlawful, harmful, or fraudulent activity.
• Attempt to reverse-engineer, decompile, or otherwise access the underlying source code of our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to send spam or unsolicited communications in violation of applicable laws.

3. Account Registration and Security

To access certain features of the Services, you may be required to create an account. You agree to provide accurate and complete information and to keep your login credentials secure.

You are responsible for all activities that occur under your account. If you believe your account has been compromised, you must notify us promptly.

4. Subscription, Fees, and Payments

Access to certain Services may require payment of subscription fees, setup fees, or usage-based fees as agreed between you and FlowBotics.

• Fees are typically billed in advance on a recurring basis (e.g., monthly) unless otherwise specified.
• Payments are processed through third-party payment providers.
• If a payment is declined or fails, we may suspend or terminate your access to the Services.
• Unless otherwise stated in writing, all fees are non-refundable.

5. No Guarantee of Specific Results

While our Services are designed to help improve response times, lead handling, appointment booking, and overall workflow automation, FlowBotics does not guarantee any specific business outcomes, revenue levels, or performance results.

6. AI Limitations and Disclaimer

Our Services use artificial intelligence and automation to handle calls, chats, and other interactions. You acknowledge and agree that:

• AI systems may misinterpret speech, language, or user intent.
• Transcriptions may contain errors or omissions.
• Responses may be incomplete, inaccurate, or not suitable for all situations.
• Certain leads or opportunities may be missed due to technical or AI-related limitations.

FlowBotics is not responsible for business losses, missed calls, or missed opportunities resulting from the use of AI Agents or automated systems.

7. Third-Party Services and Integrations

The Services may integrate with third-party platforms such as CRM systems, voice AI providers, email/SMS gateways, and other tools.

For example, integrations may include (but are not limited to):

• CRM and marketing platforms (e.g., GoHighLevel)
• AI and voice engines for call handling and transcription
• Email and SMS communication services
• Payment processors

FlowBotics does not control and is not responsible for the availability, performance, or terms of any Third-Party Services. Your use of those services is subject to the terms and privacy policies of the respective third parties.

FlowBotics is not liable for data loss, outages, or other issues caused by Third-Party Services, API changes, or their internal decisions.

8. Client Responsibilities

You are responsible for:

• Providing accurate and up-to-date business information.
• Ensuring you have the right to use any customer data you provide or connect.
• Complying with all applicable laws, including telemarketing, privacy, and data protection regulations.
• Ensuring that any scripts, prompts, or configurations you provide to the AI Agents are lawful and appropriate.

9. Intellectual Property

All intellectual property rights in and to the Services, including software, branding, designs, scripts, and configurations provided by FlowBotics, are owned by FlowBotics or its licensors.

You agree that you will not:

• Copy, modify, or create derivative works based on the Services.
• Resell, sublicense, or otherwise distribute the Services without our prior written consent.
• Use our name, logos, or trademarks without permission.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This includes, but is not limited to, business processes, customer lists, scripts, and system configurations.

11. Limitation of Liability

To the maximum extent permitted by law, FlowBotics and its officers, employees, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages arising from or related to:
  • Misinterpretation or errors by AI Agents,
  • Technical issues or downtime,
  • Integration failures with Third-Party Services, or
  • Unauthorized access to or use of your account.

In all cases, FlowBotics’ total liability for any claim arising out of or relating to the Services shall not exceed the total amount paid by you for the Services in the thirty (30) days immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless FlowBotics and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party rights, including privacy or intellectual property rights.

13. Term and Termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate your access to the Services at any time if:

• You fail to pay applicable fees when due.
• You violate these Terms or applicable law.
• You misuse the Services, including abusive or fraudulent activity.

You may cancel your subscription or stop using the Services at any time, subject to any agreed contract term. Termination does not relieve you of any obligations to pay accrued fees.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and, where applicable, the state in which FlowBotics primarily operates or the state specified in a separate written agreement with you.

15. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
